Finding Us
Corporate Services
IFS Corporate Services offers a full range of company formation, secretarial, accountancy, payroll and administration services. This enables start-ups and foreign companies to establish a presence in the UK with limited labour and office costs, allowing them to concentrate on their core business. From formation of the business entity to opening and operating bank accounts, preparation of cash-flow forecasts and statutory accounts to dealing with all regulatory matters, the service is all encompassing and tailored to each client’s specific requirements.
Sports & Entertainment
The image rights of sportspersons and entertainers have become a valuable commodity creating endorsement, sponsorship and royalty income streams. Where appropriate, The Opus Group can assist in the exploitation of an individual’s image rights, working in conjunction with agents and specialist brand development partners to maximise revenues and commercial value. Working closely with pension trustees, investment advisors and a panel of leading private banks, the future financial security of the client is secured.
Executive Employment Solutions
The way in which corporate executives provide their services has often been through personal service companies, which maybe inappropriate or technically flawed from a tax perspective. The Opus Group, with its headquarters in Switzerland, was established in 2000 by IFS to provide a fully managed employment solution that is both flexible and tax efficient. When combined with specific pension and deferred compensation arrangements, clients achieve significant tax savings.
Private Client
The Private Client practice focuses on providing entrepreneurs and high net worth individuals and their trustees with advice on cross border tax issues. The complexity of tax legislation around the world, coupled with the globalisation of families and businesses requires a detailed understanding of anti-avoidance laws, trends and current planning techniques. We advise on all direct taxes (income, capital gains, inheritance, gift and wealth taxes) and apply this in the context of pre-immigration, estate planning, asset protection, start-up ventures, exit planning and acquisition of investment assets. Where needed, we can provide private client support and administration through IFS Corporate Services.
Captive Insurance
Captive Insurance is frequently used by multinational companies as a means of reducing overall insurance costs and accessing reinsurance markets to cover specific risks. The clear benefit of captive arrangements is that the premiums paid will be retained for the ultimate benefit of the business to the extent claims are not made. The common barrier to entry is cost, especially for the SME market. IFS has established an alternative to the traditional captive model in Gibraltar that offers an affordable, equally effective way of insuring a wide range of risks. Our captive “Key Man” insurance product also provides significant benefits to SME/owner-managed businesses.
Structured Finance
Structured Finance is an integral part of corporate tax planning and is used in management buy-out and buy-in situations, restructuring, acquisition, re-financing or turnaround opportunities. We can advise on the various legal entities, jurisdictions, regulatory regimes and resulting tax consequences.
Real Estate
We have significant experience of structuring international real estate deals ranging from acquisition of family and second homes to multi-million pound land development projects. Our advice takes into account the nature of the anticipated return whether this is rental income, trading profits or capital gains. We also pay particular attention to local implications, for example income and transfer taxes, to ensure an efficient and compliant structure.
Offshore Funds
The establishment of an offshore fund embodies many of the principles of international tax planning which many domestic tax practices are unable to advise on. We look at each new fund structure on its own merits using a “top-down” approach, paying particular attention to the investor profile and asset class. We have diverse fund experience, advising on deals with a combined net asset value in excess of $8 billion, including hedge funds, fund of funds, real estate funds, film finance and mezzanine finance funds. We are also familiar with the fund regimes and laws in various jurisdictions, including the Channel Islands, Isle of Man, Ireland, Luxembourg, Cayman Islands and Cyprus amongst others. Whatever the asset class, whatever the jurisdiction, IFS can seamlessly and expertly assist and project manage the establishment of a fund from start to finish.
Corporate Clients
Companies of all sizes have exposure to cross-border transactions through ownership of overseas subsidiaries and assets or international trade. Whilst tax is a direct cost to any business, in the context of international transactions it can have a significant impact on the success of a deal. These factors, combined with increasingly complex tax laws and anti-avoidance legislation, require a detailed knowledge of both the tax systems relevant to a particular deal and an understanding of the commercial and business drivers. We have over 30 years’ experience of advising companies in areas such as M&A, sale and lease-back, intellectual property structuring, asset purchase and transfer pricing.
